STANDING RULES AND
BY-LAWS

I.
Name
The organization shall be called the Brownwood Quilters Guild
(the Guild).
II.
Purpose
The Guild is organized for the appreciation and education of
quilting.
III.
Meetings
Regular meetings will be held on the third Tuesday of each
month in the Fellowship Hall, First Christian Church, 2411 Coggin Avenue at 9:30
a.m.
IV.
Membership
The membership will be open to anyone who is interested in the
knowledge of the area of quilting and who desires the fellowship of other
quilters. Members in good standing have
the privilege of voting and holding office, will be notified of Guild
activities, and can participate in and support the projects and activities of
the Guild. Annual dues of $24.00 are due
and pay able at the June meeting. After
two visits, visitors are requested to join with dues prorated for the remaining
months.
V.
Elected Officers
Any member in good standing for one year
shall be eligible to hold office. In
April, a nominating committee consisting of three (3) members shall be
requested from the floor. No current
officer may serve on the nominating committee.
The committee will elect a chairman.
In May, the
nominating committee shall present their slate of officers to be voted on by
the membership. New officers shall
assume their duties beginning June 1st through May 31st
which coincides with the fiscal year of the guild. The elected officers will be the standing
members of the Executive Committee. The
elected officers are as follows:
A.
Guild President
1.
Preside over all meetings.
2.
Appoint standing committees.
B.
Vice-President/Program Chair
1.
Preside over meetings in the absence of the
President.
2.
Secure programs.
C.
Secretary/Treasurer
1.
Keep minutes of all meetings and make available
to members.
2.
Make bank deposits and disbursements as needed
keeping accurate records and provide a Treasurer’s Report to the membership
each month.
3.
Prepare yearbook and distribute to members.
VI.
Committees
The President will appoint all general committees.
VII.
Standing Committees
A. Sunshine
Committee
1. Send cards to
members in response to major events in their lives.
B. Hospitality
Committee
1. Greet
visitors at general meetings.
2. Coordinate and oversee all parties
and/or food related activities.
C. Guild
Membership Quilt Selection Committee
To encourage prompt payment of Guild dues, a quilt top will be
given away at the June meeting to one member chosen by a drawing of all names
that have paid their dues at that time.
The total price should not exceed $100 without prior approval.
D. Community
Service Projects
The selection of the specific charitable organizations
supported must be approved by the general membership.
E. Quilt
Show Committee
1. Quilt
Show Chair – Oversee and/or perform the necessary activities required to
promote the annual quilt show. The Quilt
Show Chair will be authorized to delegate the necessary tasks required to
accomplish the end result.
2. Quilt Show
Proceeds –
a. Proceeds
from the Donation quilt, after all expenses have been met, shall be utilized
for the programs for the Guild for the upcoming year.
b. All
other proceeds from the Quilt Show shall be deposited into the Guild account
and set aside for use in the promotion of the Quilt Show the following year.
F. Publicity
Committee
1. Coordinate
Community Calendar monthly notices with the local newspaper.
2. Perform
other publicity activities of the Guild not related to the quilt show.
F. Website
Committee
The Brownwood Quilters Guild shall maintain a website. The committee can post pictures or names of
members and general activities of the guild as they deem appropriate taking
personal privacy and security into consideration. Any member who does not want her name or
picture posted should contact the Committee.
G. Executive
Committee
1. Will
meet at the discretion of the President to address unforeseen issues between
regularly scheduled meetings.
2. Propose
a yearly budget for Guild approval at the beginning of each fiscal year.
VIII.
Financial Policies
The President, Vice-President, Secretary/Treasurer
and the Quilt Show Chairperson will be authorized to sign checks. No one should sign checks to themselves.
IX.
Other Policies
A. Copyright
– The Guild supports compliance with the Copyright Law.
B. Bylaws
– The bylaws may be altered, amended or repealed and new bylaws may be adopted
by a majority of the members voting in any regular meeting. Any proposed changes to the bylaws must be
presented to the members at least one month prior to voting on said changes.
C. Disbandment
– Should the Brownwood Quilters Guild disband, all monies remaining after
payment of any outstanding expenses shall be donated to another non-profit
organization to be decided by the members present at the final meeting.
